KonX Affiliate Program Terms and Conditions
Welcome to the KonX Affiliate Program! Please read these Terms and Conditions (“Terms”) carefully before participating in the program. By registering and participating in the KonX Affiliate Program, you agree to comply with and be bound by these Terms.
Definitions
Users: Refers to Account Holders, Hosts, Participants, Viewers, Customers, and/or Subscribers of the KonX Conference Room Subscriptions and KonX eCards as specified in the VtexCom User’s Terms and Conditions.
Intellectual Property
Restrictions: You may not remove, deface, or obscure any copyright, trademark, or other proprietary notices on, incorporated into, or associated with KonX products or services. You may not reverse engineer, decompile, or otherwise reduce to human-readable form any software or programming associated with KonX products or services.
Use of KonX Products and Services
Prohibited Uses: You shall not use KonX products or services in any manner that could damage, disable, overburden, impair, or otherwise interfere with or disrupt the websites, KonX products or services, or any networks connected to the services or security systems.
Export Compliance: You acknowledge that KonX products or services may be subject to U.S. export control laws. You will not export, re-export, divert, transfer, or disclose any portion of KonX products or services or any related technical information or materials in violation of any applicable export law or regulation.
Warranties and Disclaimers
AS IS Basis: KonX products or services are provided “AS IS”. VtexCom, Inc. and its affiliates expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantees: VtexCom, Inc. makes no warranty regarding the accuracy or reliability of any information obtained through KonX products or services, nor does it warrant that KonX products or services will meet any user’s requirements or be uninterrupted, timely, secure, or error-free.
Limitation of Liability
No Special Damages: To the maximum extent permitted by applicable law, VtexCom, Inc. and its affiliates shall not be liable for any special, incidental, indirect, exemplary, or consequential damages whatsoever arising from the use of or inability to use KonX products or services.
Liability Cap: VtexCom, Inc.’s cumulative liability for any claims arising from or related to these Terms will be limited to the amount actually paid by you for KonX products or services in the previous 12 months.
Indemnification
You agree to indemnify, defend, and hold harmless VtexCom, Inc. and its affiliates from any and all third-party claims, liability, damages, and costs arising from your use of KonX products or services or your violation of these Terms.
Prohibited Activities
Competitive Relationships: You and your sub-customers/subscribers agree not to enter into any competitive relationships with VtexCom, Inc. or market similar products or services while actively using KonX products and services.
Illegal Activities: You are prohibited from using KonX products and services for any illegal activities, including selling illegal drugs or engaging in adult entertainment.
Modifications
VtexCom, Inc. reserves the right to modify its policies, procedures, products, and services at any time. Any such modifications will become binding upon publication or announcement.
Termination and Cancellation
Final Sales: All sales of KonX products or services are final. No refunds will be issued after three (3) days from the date of purchase.
Cancellation Policy: Cancellation requests must be postmarked/received within three (3) days from the date of purchase. Verbal cancellation requests and requests made after this period will not be accepted.
Governing Law and Dispute Resolution
Arbitration: Disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association in Las Vegas, Nevada, USA, or the International Arbitration Association. Louisiana residents may choose Louisiana law, jurisdiction, and venue.
No False Information: No false or misleading information regarding VtexCom, Inc. products or services shall be provided to any party.
General Provisions
No Third-Party Agreements: You agree not to contact, hire, employ, or subcontract any services with VtexCom, Inc.’s providers or advertisers without written permission from VtexCom, Inc.
Proprietary Information: You agree not to copy, redistribute, use, or publish any content from KonX websites, intellectual property, or programming codes.
No Rights Granted: No rights or licenses to any trademarks, service marks, trade names, or copyright are granted by these Terms.
By registering and participating in the KonX Affiliate Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree to these Terms, you must not participate in the KonX Affiliate Program.
